1. Acceptance of Terms
By accessing notaax.com (the “Site”) or engaging Notaax Consultancy (“we”, “us”, “our”) for trade licensing, VAT/BIN, TIN, company registration, or any other legal or compliance service, you agree to be bound by these Terms & Conditions. If you do not agree, please do not use our Site or services.
2. Description of Services
Notaax Consultancy provides legal, tax, and business compliance consultancy services in Bangladesh, including but not limited to trade license applications and renewals, VAT/BIN registration and return filing, TIN and tax return filing, company and NGO registration, import/export licensing (IRC/ERC), fire and environment clearances, trademark and copyright filing, audit support, translation and notary services, and related legal and corporate support.
3. Client Responsibilities
To provide our services, we rely on the accuracy and completeness of the information and documents you provide (e.g. NID, business records, financial statements). You agree to:
- Provide true, accurate, and complete information and documentation
- Respond promptly to requests for additional documents or clarification
- Notify us immediately of any change in your business or personal circumstances relevant to your case
We are not responsible for delays or rejections caused by incomplete, incorrect, or fraudulent information supplied by you.
4. Fees & Payment
Service fees will be communicated to you before we begin work, either verbally, by email, or via a written quotation. Government fees, stamp duties, and third-party charges are separate from our consultancy fee and are payable by you as applicable. Fees already paid for work performed are generally non-refundable, except where required by law or agreed otherwise in writing.
5. Government Processing Times
Many of our services involve submissions to government offices and regulatory bodies (e.g. RJSC, NBR, CCI&E, City Corporation, Fire Service). Processing times, requirements, and outcomes are determined by these authorities and are outside our control. We will keep you informed of progress, but we cannot guarantee a specific completion date.
6. No Guarantee of Approval
While we prepare and submit applications with due care and professional diligence, final approval of any license, registration, or certificate rests solely with the relevant government authority. We do not guarantee approval, and are not liable for rejection or delay caused by regulatory decisions beyond our control.
7. Confidentiality
We treat all documents and information you share with us as confidential and use them solely for the purpose of providing the requested service, in line with our Privacy Policy. We will not disclose your information to third parties except as necessary to complete your service or as required by law.
8. Intellectual Property
All content on the Site — including text, graphics, logos, and design — is the property of Notaax Consultancy or its licensors and may not be copied, reproduced, or distributed without our prior written consent.
9. Limitation of Liability
To the maximum extent permitted by law, Notaax Consultancy shall not be liable for any indirect, incidental, or consequential loss arising from delays, regulatory decisions, or actions taken by government authorities. Our total liability for any claim arising from our services is limited to the consultancy fee paid for that specific service.
10. Termination
Either party may terminate an engagement with written notice. If you terminate a service after work has begun, fees for work already completed remain payable. We reserve the right to decline or discontinue a service if we reasonably believe the information provided is false or the request is unlawful.
11. Governing Law
These Terms & Conditions are governed by the laws of Bangladesh. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of Bangladesh.
12. Changes to These Terms
We may update these Terms & Conditions from time to time. Changes will be posted on this page with a revised “Last updated” date. Continued use of our Site or services after changes constitutes acceptance of the updated terms.
